The terms for using Layman's Avatar Studio.

These terms cover the Layman's Avatar Studio app, its Free, Pro, and Commercial plans, and this website. They are written to be read, not skimmed past. When you buy a plan, the checkout itself runs under Polar's buyer terms, and these terms cover what you get and how you may use it.

01Who you are dealing with

Layman's Avatar Studio ("LAS", "we", "us") is made and published by Layman's Avatar Studio LLC, 1500 N Grant St Ste N, Denver, CO 80203, USA. You can reach us at [email protected].

By installing or using the app, or by buying a plan, you agree to these terms. If you do not agree, do not use the app.

02Your license to the app

We grant you a personal, non-exclusive, non-transferable license to install and use the app on Windows PCs you own or control, for as long as you follow these terms. The app is licensed, not sold, and we keep all rights not expressly granted here.

The Unity-side bridge the app installs into your projects is open source under its own license, which travels with it.

03The plans

The app comes in three plans. Current prices, currencies, and what each plan includes are shown on the pricing section of this site and inside the app, and that list is the authority if anything here drifts.

  • Free is a real, permanent plan, not a trial. It gives you the full pipeline for up to five active avatars at a time, needs no account, and never adds watermarks. Avatars past the cap become view-only and are never deleted.
  • Pro removes the avatar cap and adds priority help. Pro is for your own use: avatars you make for yourself and wear on your own accounts.
  • Commercial includes everything in Pro and adds a license to deliver work made with the app to other people, for example commissioned avatars or avatars you set up for friends, clients, or a group. If someone other than you will wear an avatar you built with the app, you need Commercial.

You can move from Free to Pro to Commercial at any time from inside the app or from Polar's customer portal. A plan change mid-cycle is prorated on your next invoice.

04License keys and devices

When you buy Pro or Commercial, Polar issues a license key and emails it to you. Activating the key on a device uses one activation seat, and your plan allows a fixed number of seats, shown in Polar's customer portal and in the app's Settings. Sign out from Settings on a device you no longer use to free its seat.

Your key is for you, or, on Commercial, for your business. Do not share it, sell it, or post it. A shared key simply runs out of seats, and we may revoke a key that is being passed around.

05Subscriptions, renewals, and cancellation

Pro and Commercial are subscriptions billed monthly or yearly, in advance, and they renew automatically until you cancel. Polar shows the price, the renewal interval, and the cancellation method at checkout, and the app shows your renewal date in Settings.

You can cancel at any time from Settings in the app or from Polar's customer portal. Cancelling stops the next charge, and your plan stays active until the end of the period you already paid for. Our refund policy explains when a charge can be refunded.

If we change a plan's price, we will email you at least 30 days before it applies to a renewal, so you can cancel first if you would rather.

06When a subscription ends or cannot be confirmed

When a subscription lapses, is cancelled, or is refunded, the app returns to the Free plan. Nothing is deleted: every project, avatar, and file stays on your PC, and avatars past the Free cap become view-only until you renew.

If the app cannot reach our license server, for example while you are offline, your paid plan keeps working for 14 days from the last successful check, then falls back to Free until the next successful check.

07Payments are handled by Polar

Polar Software, Inc. is the merchant of record and authorized reseller for every purchase. You buy your plan from Polar, and Polar charges your payment method, collects any applicable tax, and sends your receipts and invoices. Your card details never reach us or the app.

The checkout, billing, and your rights as a buyer are governed by Polar's buyer terms. What you get and how you may use it are governed by these terms.

08What the app never does

These are the rules we build the app around, and we treat them as promises to you.

  • The app never sees, stores, or automates your VRChat login or any store login. You sign in to VRChat yourself, inside the official SDK panel, and to stores like Booth inside a plain browser view that belongs to you.
  • The app never uploads your avatars, outfits, textures, or any other asset file to us. All processing happens on your PC. What can leave your machine, and only if you switch it on, is listed on the privacy page.
  • The app never redistributes assets. It works with files you bought or already own, downloaded by you, and it never ships or shares anyone's products.
  • Uploads to VRChat go only through the official VRChat SDK, with you logged in.

09Acceptable use

The app is a tool for assembling and uploading avatars from assets you are allowed to use. When you use it, you agree to the following.

  • You follow the license of every asset you put into the app. Most VRChat assets, including those sold under VN3 or similar terms, allow personal modification but forbid redistribution, including of extracted parts. Delivering avatars to others on Commercial does not override an asset's own license, so check that the assets you use allow it.
  • You follow VRChat's Terms of Service and Creator Guidelines, and Unity's terms, when you use those services through the app.
  • You do not use the app to build avatars that infringe someone else's rights or break the rules of the platform you upload them to.
  • You do not resell, rent, or sublicense the app itself, share license keys, or try to bypass license checks. You may not reverse engineer the app except where the law allows it regardless of this clause.

10Third-party software and services

The app installs and drives Unity, the VRChat SDK, VRCFury, Modular Avatar, and other community tools on your behalf, each under its own license and terms. We do not own them, and their authors do not endorse the app. The app never accepts a third party's terms for you: where a tool requires your acceptance, it asks you.

11Updates and changes to the app

The app checks for updates when it starts and may install them. We may add, change, or retire features over time. If we ever discontinue the app, paid subscriptions will be refunded for the unused part of the period.

12Warranty and liability

The app is provided as is. We work hard to make it reliable, but we do not promise that it will be free of errors, that every asset will import cleanly, or that VRChat, Unity, or any store will keep working the way it does today.

To the extent the law allows, our total liability to you for anything arising from the app or these terms is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect losses, lost data you did not back up, or lost income. Nothing in these terms limits liability that cannot be limited by law, and nothing removes the consumer rights you have under the law of the country where you live.

13Ending the agreement

You can stop using the app at any time by uninstalling it. We may suspend or end your license if you break these terms in a way that harms other people or the app. If we do, we will tell you why, and your projects and files stay yours.

14Changes to these terms

We may update these terms as the app grows. If a change matters to you, we will announce it in the app or by email before it takes effect. The date at the bottom of this page tells you when it last changed.

15Governing law

These terms are governed by the laws of the State of Colorado, USA, without affecting any mandatory consumer protection law of the country where you live, which continues to apply. Where the law lets us choose, disputes go to the courts of Denver, Colorado.
